This document officially establishes your LLC as a separate legal entity in your State.
EIN is the social security number for the business and is required to open a bank account. If you have one for your DBA you will need to get a new one in the LLC Name.
The Operating Agreement is the only contract that governs how the LLC will be managed and run. If you don’t put together an Operating Agreement, the LLC will be governed by the state’s default rules — and those default provisions may or may not work for your situation. Our attorney-prepared Operating Agreement is designed to be a generic LLC agreement that covers the most common provisions and will work for most businesses. If your business requires industry-specific provisions, has complex ownership arrangements or a large number of members, we recommend consulting an attorney.
